Terms of Service

These Terms of Service ("Terms") govern your use of the SmartFence platform operated by Future Front Innovations Inc. ("we", "us", or "our"), a company incorporated in Manitoba, Canada. By accessing or using our service, you agree to be bound by these Terms.

1. Use of Service

SmartFence is a B2B platform designed exclusively for fence installation companies operating in Canada and the United States. You may use SmartFence only for lawful business purposes and in accordance with these Terms. You agree not to use our service in any way that violates applicable laws or regulations.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each subscription is issued to a single business entity. You must notify us immediately of any unauthorised use of your account at support@smartfence.app.

3. Subscriptions and Billing

SmartFence is offered on a monthly subscription basis. Current pricing and plan details are published at smartfence.app/pricing.html and are subject to change. Additional service areas or branded instances may be added for a fee. There are no setup fees for the core platform and no long-term contracts. You may cancel at any time; cancellation takes effect at the end of the current billing period and no partial refunds are issued. All fees are billed in advance on a recurring monthly basis.

4. Geographic Model

Each SmartFence subscription includes one service area per company. Service areas may be defined by radius or by drawing a custom boundary. Additional service areas are available as a paid add-on. 5. AI-Powered Features and Data

SmartFence includes a Fence Advisor and AI chatbot that are trained and configured using information you provide about your business, including service areas, pricing, products, and company knowledge. By providing this information, you grant Future Front Innovations Inc. a limited licence to use it solely for the purpose of operating and improving your Fence Advisor and AI chatbot within the SmartFence platform.

You acknowledge that AI-generated responses are automated and may not always be perfectly accurate. You are responsible for reviewing and maintaining the accuracy of the information used to train your Fence Advisor and AI chatbot. SmartFence is not liable for any outcomes resulting from AI-generated content presented to your customers.

Lead data, conversation transcripts, and estimator submissions collected through the platform on your behalf remain your property. We process this data as a service provider and do not sell it to third parties.

6. Intellectual Property

The SmartFence platform, including all software, design, content, features, and functionality, is owned by Future Front Innovations Inc. and is protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or distribute any part of our service without prior written permission. Your company data, branding assets, and content remain your property at all times.

7. Acceptable Use

You agree not to misuse the platform, including but not limited to: attempting to gain unauthorised access to any part of the service; using the platform to transmit spam or unlawful content; or interfering with the integrity or performance of the service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Future Front Innovations Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service, including but not limited to loss of revenue, loss of leads, or loss of data. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to SmartFence immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct that we reasonably determine to be harmful to other users or the platform. Upon termination, your right to access the service ceases and we will make your data available for export for 30 days before deletion.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Manitoba, Canada.
